Form 941 Versus
the General Ledger

Form 941 and the general ledger run on two different clocks and four definitions of a wage. Every reconciling item is one of those, or an entry payroll never saw.

Key takeaways
  • Form 941 carries four wage figures: lines 2, 5a, 5c and 5d. Gross wage expense ties to none of them on its own.
  • The filing follows pay date and the ledger follows posting date, so September wages paid in October sit in different quarters.
  • A 401(k) elective deferral reduces income tax wages and not social security or Medicare wages, which is why line 2 and line 5c are supposed to differ.
  • The control is the payroll liability clearing account returning to a known balance each quarter. A rolling unexplained balance is the signal.
  • ChatFin pulls the ledger detail, matches the register, decomposes the variance into named causes and drafts the entry. A person approves it.

Form 941 and the general ledger disagree because they are built on two different dates and four different definitions of a wage. The filing reports what was paid in the quarter, measured by pay date, split across separate lines for income tax wages, social security wages and Medicare wages. The ledger reports what was earned, measured by posting date, in one gross wage expense account. Every genuine reconciling item is one of those two differences, or an entry payroll never saw.

What follows is the eight causes behind almost every break, a worked reconciliation whose named differences sum exactly, and the clearing account control that catches the problem early. ChatFin appears where it does the work, and the last section says what ChatFin will not do.

01

The 941 reports four wage figures, not one

Most payroll reconciliations fail in the first move, by comparing gross wage expense to a single number on the filing. There is no single number. Employers use Form 941 to report federal income tax, social security tax and Medicare tax withheld from employee pay, plus the employer share of social security and Medicare. Each has its own line and its own base.

Line What it carries What governs it
Line 2 Wages, tips and other compensation The amounts in box 1 of the Form W 2
Line 3 Federal income tax withheld Elections and supplemental rates
Line 5a Taxable social security wages Capped per employee per year at the wage base
Line 5c Taxable Medicare wages and tips No cap. Usually the largest wage line
Line 5d Wages subject to Additional Medicare Tax Only an employee year above 200,000

Column 2 applies the statutory rates. Social security is 6.2 percent each side, Medicare 1.45 percent each side. Additional Medicare Tax is 0.9 percent, withheld from the employee once wages pass 200,000 in the calendar year, with no employer match. An accrual model that doubles every tax gets it wrong.

In ChatFin

ChatFin ties each wage population to its own ledger basis. One combined variance says a break exists and nothing about which of the four caused it.

02

They run on two different clocks

The filing follows pay date. The ledger follows posting date. Wages earned in the last week of September and paid on 3 October are fourth quarter wages on the filing and September expense in the ledger. They offset across a year, never inside a quarter.

JD Edwards EnterpriseOne. Type T1 in the F0911 account ledger, the payroll disbursement journal, uses the payment date as its general ledger date. Types T2 to T5, the labour distribution and burden journals, use a date set in the payroll journal entries step. One pay run, two general ledger dates, one account.
NetSuite. Pull the movement with SuiteQL over transactionline joined to transaction, grouped by transaction type. Whatever is not the payroll journal is a manual posting, and that list is the answer.
Either way. Compare on pay date for tax and general ledger date for expense, then bridge between them as a named line.
A payroll reconciliation with no timing line on it has not been done. It has been rounded.
In ChatFin

ChatFin pulls account movement by document type and date basis, not by period alone, so the pay date bridge is a line item, not a residual.

03

Eight causes, and one produces confident wrong answers

The list repeats, so a reconciliation can test for each cause directly.

Timing between pay date and period end. Legitimate, recurring.
Accrued versus paid wages. A bonus accrued in one year and paid in the next is expense in one and filed wages in the other.
Pre tax deductions that treat each tax differently. Below.
Third party sick pay. Insurer paid, taxable, adjusted on line 8, never near wage expense.
Taxable fringe benefits added late. Company car, relocation, group term life above 50,000 of cover, keyed as imputed income.
Multi state or multi entity payroll on one account. Two employer identification numbers, two returns, nothing ties.
A manual journal into the payroll liability account. Payroll never saw it, so the account stops agreeing.
Prior period adjustments. A correction for an earlier quarter landing in a ledger period that does not match.

The pre tax rules differ by benefit. A section 125 cafeteria plan salary reduction for health coverage is generally outside wages for income tax withholding and outside social security and Medicare. A 401(k) elective deferral is excluded for federal income tax and stays inside social security and Medicare wages.

Line 2 and line 5c on one filing are supposed to differ, and the gap is your 401(k) deferral total for the quarter.

In ChatFin

ChatFin tests the eight directly and names what it cannot evidence as unexplained rather than absorbing it.

04

A worked reconciliation that sums exactly

One quarter, one entity, one wage expense account. The figures are illustrative and the arithmetic is the point.

Reconciling item Effect Running total
Gross wage expense, account 60100 4,286,500.00
Earned to 30 September, pay date 3 October (118,400.00) 4,168,100.00
Prior quarter accrual reversed, paid 3 July 104,900.00 4,273,000.00
Section 125 elections (214,300.00) 4,058,700.00
Group term life above 50,000, imputed 9,600.00 4,068,300.00
Third party sick pay on the filing 47,800.00 4,116,100.00
Canadian branch payroll, same account (96,000.00) 4,020,100.00
Line 5c taxable Medicare wages and tips 4,020,100.00

Two more filing lines fall out of the same schedule. Line 2 is that figure less 401(k) deferrals of 186,700.00, which reduce income tax wages and not Medicare wages. Line 5a is it less 268,900.00 of pay above the social security base, 184,500 for earnings in 2026.

3,833,400.00
Line 2 wages, tips and other
3,751,200.00
Line 5a social security wages
4,020,100.00
Line 5c Medicare wages

Check the tax rather than trusting it. Social security at 12.4 percent of 3,751,200.00 is 465,148.80. Medicare at 2.9 percent of 4,020,100.00 is 116,582.90. Additional Medicare Tax hits only the line 5d population and only the employee, so it is not doubled.

Six named items carry 266,400.00 of difference and leave nothing unexplained. A schedule that ends in a plug has reconciled nothing.
In ChatFin

ChatFin builds the schedule from the register and the ledger detail, labelling each line with the rows behind it, so a reviewer can open the 118,400.00 and see the accrual.

05

The clearing account is the control, year end is the deadline

The payroll liability clearing account should return to a known balance every quarter, usually the tax on wages accrued and not yet paid. A balance that keeps returning to something else is a rolling unexplained balance, and unlike a period variance it does not reverse itself.

A bank line arrives described as IRS USATAXPYMT for 4,182.16, nobody can place it, and a staff accountant clears it to account 21500 payroll taxes payable. It was a prior quarter deposit correction from the bureau. From that month the account carries 4,182.16 that no filing will explain. Age the residual rather than netting it, and list every posting that did not come from payroll.

Year end is when an ignored break turns into a letter. The IRS matches the four Forms 941 against the Form W 3 totals, and disagreement invites contact from the IRS or the Social Security Administration.

Sum of the four Forms 941 Agrees to Form W 3
Line 2 wages and other Box 1 wages and other
Line 3 income tax withheld Box 2 income tax withheld
Line 5a social security wages Box 3 social security wages
Line 5c Medicare wages Box 5 Medicare wages

Where a filed quarter was wrong, the correction runs on Form 941 X, the adjusted employer quarterly federal tax return or claim for refund. A bureau can file one without telling accounting, leaving the ledger tied to a superseded filing. Payroll tax treatment depends on your own facts, so confirm anything specific with your payroll provider.

In ChatFin

ChatFin monitors the clearing balance against its expected value and flags items ageing past your tolerance. It does not set the tolerance.

06

What an agent does, and what stays with a person

The work is assembly and decomposition, not judgement. That split makes it a good fit for a governed agent and a bad fit for a robot typing into a screen.

1

Pull the ledger detail

Every posting to the wage expense and payroll liability accounts, with source, document type, date basis and author, through the published interface.

2

Match to the payroll register

Run by run and by tax type, not to the summary journal. The register is the source; filing and ledger are both derived from it.

3

Decompose and draft

The variance split into named causes with rows attached, the entry drafted, and the register, filing and account movement exported as one workpaper.

A person approves the entry and owns the filing. The same rule runs through reconciliation automation and finance automation.

Where ChatFin helps. Cross system assembly, decomposition by cause, the same schedule every period, evidence produced as it posts.
Where ChatFin underperforms. Payroll accounts shared across entities with no dimension to split them, or a register that is a scanned summary.
What it never does. File a return, sign a filing, or post without a named approver.
In ChatFin

ChatFin runs on your ERP through published interfaces and adds no second ledger. If the account is out by 4,182.16, the evidence exports with it.

“

A manual entry into a payroll liability account breaks the only clean control that account has, which is that it should move solely through payroll.

Where this sits in the close

Payroll is a subledger like any other.

The account

Payroll liability and wage expense
One per filing entity, an expected closing balance written down, no manual posting without a reason.
The evidence

Register, filing, account movement
One workpaper per quarter, which the Form W 3 comparison runs against.
The residual

What you decided not to fix
Passed differences still need logging and ageing.

On differences you choose not to correct, see the passed adjustments log. On the close, see AI for controllers and AI for accounting. On the ERP write, see ERP AI agents.

Questions controllers ask first

How do you reconcile Form 941 to the general ledger?

Bridge the wage figures separately rather than as one total. Start from gross wage expense and reach line 5c taxable Medicare wages through named items: wages accrued at period end but paid next quarter, the prior quarter accrual reversed and paid, section 125 elections, imputed fringe benefits, third party sick pay, and any other entity in the same account. Line 2 is then that figure less 401(k) deferrals, and line 5a is it less pay above the social security wage base. ChatFin builds the schedule from the register and the ledger detail.

Why do the 941 and the ledger disagree even when payroll is correct?

Because they measure different things on different dates. The tax is imposed when wages are paid, so the filing follows pay date, while the ledger follows the posting date of the payroll journal and the accrual. Pre tax deductions add a second layer. A section 125 health election is generally outside income tax withholding and outside social security and Medicare, while a 401(k) deferral reduces income tax wages and stays inside social security and Medicare wages. Treatment depends on your own facts, so confirm anything specific with your payroll provider.

What is Form 941 X and when does the ledger need to know about it?

Form 941 X is the adjusted employer quarterly federal tax return or claim for refund, used to correct errors on a Form 941 already filed. The ledger needs to know because a bureau can file one without telling accounting, which leaves the reconciliation tied to a superseded filing. Ask for the filed copy of every quarter, including any adjusted return, and keep it with the register and the account movement as one workpaper. ChatFin holds those three as a linked record per quarter.

How ChatFin runs the payroll tie

It prepares the reconciliation. A person approves the entry.

ChatFin reads the payroll register, the filing as submitted and the ledger movement on your wage expense and payroll liability accounts, then ties wages, tax and deposits separately rather than reporting one variance. Each difference returns as a named cause with the rows behind it.

It runs on your ERP through published interfaces, so a query against F0911 or a SuiteQL pull inherits the same security as the person who asked. Nothing posts on its own.

Start with one completed quarter. If the clearing account does not return to a balance you can write down, the reconciliation has found something.
